The terms that apply when you use this website and when you engage Vista Enclave Inc for work.

About these terms
These terms govern your use of www.vistaenclaveinc.online, operated by Vista Enclave Inc, 147-36 94th Ave, Jamaica, NY 11435, United States. Client work is governed by a separate written proposal or agreement; where that agreement conflicts with these terms, the agreement takes precedence.
Using this website
You may browse this website and use its contact form for genuine enquiries. You agree not to:
- Use the site for any unlawful purpose, or in a way that breaches these terms
- Submit false information, spam, or automated bulk enquiries
- Attempt to gain unauthorised access to the site, its server or connected systems
- Introduce malicious code, or interfere with the site's normal operation
- Copy, republish or resell the content of this site without our written permission
Quotes and proposals
Prices shown or discussed before a written quote is issued are indicative only. A quote becomes binding when we issue it in writing and you accept it. Quotes are valid for 30 days unless stated otherwise, and cover the scope described in them. Work outside that scope is quoted separately before it is carried out.
Project terms
- Deposit. Projects normally begin once an agreed deposit is received. The balance is due as set out in the proposal, usually on completion and before final handover.
- Your responsibilities. You are responsible for supplying content, images and access credentials on time, and for confirming that you hold the rights to any material you give us.
- Timelines. Estimated dates assume timely feedback and content. Delays in either will move the schedule accordingly.
- Revisions. The number of design revision rounds included is stated in your proposal. Further rounds are charged at our standard rate.
- Third-party costs. Hosting, domains, licensed fonts, stock images and paid plugins are billed at cost, in addition to our fees, unless the proposal says otherwise.
Intellectual property
Once your project is paid for in full, ownership of the final deliverables produced specifically for you transfers to you. We retain ownership of any pre-existing tools, libraries, frameworks or components we used to build them, and of any concepts or drafts not selected. Third-party assets remain subject to their own licences.
The content, design and code of this website itself, including the Vista Enclave Inc name and logo, remain our property.
Unless you ask us not to, we may describe the work and show screenshots of it in our own portfolio and marketing.
Cancellation
Either party may end a project in writing. If you cancel, you are liable for all work completed up to that point, and deposits already paid are non-refundable. We will hand over completed work for which payment has been received.
Warranties and support
We warrant that our work will be performed with reasonable skill and care. We correct defects in our own code reported within the support window stated in your proposal, at no charge. That warranty does not cover changes made by you or a third party, failures of third-party services, or issues caused by hosting outside our control.
Limitation of liability
This website is provided "as is". To the fullest extent permitted by law, Vista Enclave Inc is not liable for indirect, incidental or consequential losses, including lost profits, lost data or business interruption, arising from your use of this website or from our services. Where liability cannot be excluded, our total liability is limited to the amount you paid us for the work in question.
Indemnity
You agree to indemnify Vista Enclave Inc against claims arising from material you supply to us, including claims that such material infringes another party's rights.
Governing law
These terms are governed by the laws of the State of New York, United States, and any dispute will be subject to the exclusive jurisdiction of the courts of that state.
Changes to these terms
We may revise these terms from time to time. The version published on this page at the time you use the website is the version that applies.
